Chapter XXIA: Unique Governance Rules for Producer Companies

In 2020, Parliament re-enacted the Producer Companies provisions directly into the Companies Act, 2013 as Chapter XXIA (Sections 378A to 378ZU), replacing the old Part IXA of the 1956 Act.
Producer Companies are unique hybrid corporate bodies: they operate with private limited company liability but follow cooperative democratic governance (one member, one vote, regardless of shareholding). Because of this special status, ROC annual compliance requires specialized secretarial handling.

1. The Core ROC Annual Filings: Deadlines & Prerequisites

| Form No. | Purpose | Statutory Deadline | Key Attachments Required | | :--- | :--- | :--- | :--- | | AOC-4 | Balance Sheet & P&L Statement | Within 30 days of AGM | Audited Financials, Auditor Report, Board Report, Notice of AGM | | MGT-7A | Abridged Annual Return | Within 60 days of AGM | List of Shareholders (MGT-1 extract), Details of Board Meetings, Transfers | | DIR-3 KYC | Director KYC Verification | On or before 30th September | Personal Mobile & Email OTP, PAN Card, Aadhaar / Passport | | DPT-3 | Return of Deposits / Exempted Loans | On or before 30th June | CA Certificate on Outstanding Loans from Members / Banks |

2. Mandatory Board Meetings and AGM Calendar

Board Meetings (Section 378V)

* Frequency: The Board of Directors must meet at least once every three months (minimum 4 meetings per calendar year). * Quorum: Quorum for a Board meeting is at least one-third of the total number of directors, subject to a minimum of three directors. * Notice: Minimum 7 days written notice must be dispatched to every director at their registered address.

Annual General Meeting - AGM (Section 378S)

* First AGM: Must be held within 90 days from the date of incorporation. * Subsequent AGMs: Must be held within 6 months from the close of the financial year (on or before 30th September). * Notice Period: Minimum 14 days notice in writing specifying the place, day, and hour of the meeting with the agenda and audited balance sheet. * Quorum: One-fourth of the total number of members, unless articles provide for a larger number.

3. Mandatory Internal Audit: Section 378ZF Thresholds

Unlike small private companies that are exempt from internal audits, every Producer Company is mandated under Section 378ZF to carry out an internal audit of its accounts:
* Threshold: Mandatory if paid-up share capital exceeds ₹50 Lakhs OR turnover exceeds ₹5 Crores in the preceding financial year. * Frequency: Conducted at quarterly or half-yearly intervals by a practicing Chartered Accountant or Cost Accountant. * Scope: Verification of cash purchases from member farmers, valuation of unsold agricultural inventory, distribution of patronage bonuses, and equity grant utilization.

4. The 6 Mandatory Statutory Registers Every FPO Must Maintain

1. Register of Members (Section 88 / Form MGT-1): Recording each farmer's index number, father's name, landholding survey number, share certificate numbers, and date of cessation. 2. Register of Directors & KMP (Section 170 / Form MGT-10): DIN numbers, appointment resolutions, term expiry dates (maximum 5 consecutive years under §378P). 3. Register of Charges (Section 85 / Form CHG-7): Recording hypothecations created in favor of NABARD, banks, or NBFCs. 4. Register of Loans & Guarantees (Section 186 / Form MBP-2): Detailing all credit facilities extended to members. 5. Register of Contracts with Related Parties (Section 189 / Form MBP-4): Detailing produce transactions with directors or their relatives. 6. Share Certificate Stamping & Demat Log (Form SH-2): State stamp duty payment receipts and dematerialization records under MCA Demat guidelines.

5. Avoid Director Disqualification under Section 164(2)

Non-filing of financial statements or annual returns for any continuous period of three financial years triggers automatic statutory disqualification of all directors under Section 164(2)(a). Their DINs are frozen, barring them from acting as directors in any company across India.
Through the YieldWise Digital Governance Hub, FPOs maintain digital statutory registers with one-click export to official ROC filing formats, complete with CA pre-filing audit trail verification.

Frequently Asked Questions (Statutory Clarifications)

What is the deadline for filing Form AOC-4 for an FPO?

Form AOC-4 (Financial Statements, Balance Sheet, Profit & Loss Account, and Director Report) must be filed with the Registrar of Companies within 30 days of the Annual General Meeting (AGM). If the AGM is held on September 30, the filing deadline is October 30.

Does an FPO file Form MGT-7 or Form MGT-7A?

Producer Companies qualify for filing Form MGT-7A (Abridged Annual Return for Small Companies and Producer Companies) under the Companies (Management and Administration) Amendment Rules, provided their paid-up capital does not exceed ₹4 Crores and turnover does not exceed ₹40 Crores.

What happens if an FPO fails to file AOC-4 and MGT-7A for 3 consecutive years?

Under Section 164(2) of the Companies Act, 2013, all directors of the defaulting company become automatically disqualified from holding directorship in any company for 5 years, and the Ministry of Corporate Affairs initiates suo motu strike-off procedures against the company.
